01 Acceptance of Terms
By accessing or using the Continuum Health AI platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
By creating an account, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and accept these Terms in full. If you are using the Service on behalf of a healthcare organization, you represent that you have authority to bind that organization.
02 Use of the Service
The Service is intended for healthcare professionals and trainees for educational, career-development, and professional-networking purposes. You agree to:
- Use the Service only for lawful purposes;
- Provide accurate, current, and complete information about yourself;
- Not share your login credentials with others;
- Not post or transmit any Protected Health Information (PHI) or other patient-identifying information through the Service;
- Not harass, impersonate, or solicit other users in a manner inconsistent with the Service's purpose;
- Not attempt to reverse engineer, scrape, or misappropriate content or technology provided through the Service.
03 User Content
"User Content" means any information, messages, profile data, goals, bios, opportunities, or other material you submit to the Service. You retain ownership of your User Content.
By submitting User Content, you grant Continuum Health AI a non-exclusive, worldwide, royalty-free license to host, store, display, process, and transmit that User Content as necessary to operate and provide the Service — including delivering matches and messages to other users you interact with. You are solely responsible for the accuracy and lawfulness of User Content you submit.
04 Intellectual Property
The Service itself — including the matching algorithms, software, curriculum, AI prompts, designs, trademarks, and any aggregated or de-identified data derived from the Service — is and remains the exclusive intellectual property of Continuum Health AI. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for your own professional development during your account's active term.
AI-Generated Output. When the Service produces output specifically for you — such as match recommendations, CV summaries, or personalized career suggestions — we grant you a perpetual, royalty-free license to use that output for your own professional-development purposes. Continuum Health AI retains the right to use de-identified versions of such output to improve the Service.
05 Subscription and Billing
Paid subscriptions are billed on the cycle selected at signup. You may cancel at any time; cancellations take effect at the end of the current billing period. Refunds are not provided for partial periods. Enterprise pricing and institutional deployments are governed by a separate Master Services Agreement.
The Service is currently in beta and free to use. Founding-member rates, when paid tiers go live, will be honored as advertised at the time of your signup.
06 Disclaimers — Read Carefully
The Service provides AI-assisted mentorship matching, educational content, and professional networking tools. It does not constitute medical advice, clinical guidance, legal advice, financial advice, or a substitute for professional judgment in patient care.
Mentorship conversations on the Service reflect the views of the participating users, not Continuum Health AI. Continuum Health AI is not responsible for advice, information, or conduct exchanged between users, and is not liable for any clinical, business, or personal decisions made in reliance on content accessed through the Service.
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, except as required by law.
07 Indemnification
You agree to defend, indemnify, and hold harmless Continuum Health AI and its officers, directors, employees, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service in violation of these Terms; (b) User Content you submit; or (c) your violation of any law or the rights of any third party.
08 Limitation of Liability
To the maximum extent permitted by law, Continuum Health AI's total liability for any claim arising from or related to the Service shall not exceed the greater of (i) one hundred U.S. dollars ($100) or (ii) the amount you paid to Continuum Health AI in the three months preceding the claim. In no event shall Continuum Health AI be liable for indirect, incidental, consequential, special, or punitive damages — including lost profits, lost data, or business interruption — even if advised of the possibility of such damages.
09 Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Any disputes arising out of or related to the Service or these Terms shall be resolved by binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.
You and Continuum Health AI agree that disputes will be resolved on an individual basis only — not as a class action, collective action, or representative proceeding.
10 Account Termination
We may suspend or terminate your account at any time for: violation of these Terms; conduct that creates legal or safety risk to other users or to the Service; or prolonged inactivity (typically 24+ months). You may close your account at any time through your account settings or by contacting us.
Upon termination, your User Content will be handled in accordance with our Privacy Policy's data retention provisions. The provisions of Sections 4 (IP), 6 (Disclaimers), 7 (Indemnification), 8 (Liability), and 9 (Dispute Resolution) survive termination.
11 Changes to These Terms
We may update these Terms at any time. For material changes — those that meaningfully alter your rights or obligations — we will provide at least 30 days' advance notice by email and in-app notification. Continued use of the Service after the effective date of revised Terms constitutes acceptance of those revised Terms.
Non-material changes (clarifying language, formatting, fixing typos) take effect when posted.
